Terms of Service

These Terms of Service (“Terms”) govern your access to and use of BizProSeries, a subscription software platform provided by DataHub Solutions LLC (“DataHub Solutions,” “we,” “our,” or “us”). BizProSeries is accessed through your browser at app.bizproseries.com and is marketed at bizproseries.com.

By creating an account, starting a free trial, or otherwise using BizProSeries, you agree to these Terms. If you do not agree, you may not use BizProSeries. These Terms incorporate our Privacy Policy and our Refund Policy by reference.

1. Eligibility

BizProSeries is intended for business use by adults aged 18 or older. By using BizProSeries you represent that you are at least 18 years old and have the legal authority to enter into these Terms on your own behalf or on behalf of the entity you represent. BizProSeries is not designed for use by minors.

2. Your Account

You are responsible for everything that happens under your account, including activity by anyone you give access to. You agree to provide accurate registration information, keep your login credentials confidential, and notify us promptly at support@bizproseries.com if you suspect unauthorized access. You may not share your account credentials with anyone outside your business.

Account authentication is handled by Clerk, our identity provider. You agree to Clerk’s terms when you create an account. We reserve the right to suspend or terminate accounts that show evidence of credential sharing, fraud, or other violations of these Terms.

3. The Subscription

3.1 Free trial

Your subscription begins with a 30-day free trial. No credit card is required to start the trial. At the end of the trial, BizProSeries will prompt you to add a payment method to continue. If you do not add a payment method, your account will be suspended and access to your business data will end. We will retain your data for a limited period after suspension so that you can reactivate by adding a payment method.

3.2 Monthly billing

After the free trial, BizProSeries is billed monthly in advance to the payment method on file. Subscriptions automatically renew each month unless you cancel before the next billing date. Billing is processed by Stripe; we do not store your full payment card details.

3.3 Launch price and the grandfathered rate

Customers who subscribe during the launch period are billed at $19.95 per month. This launch rate is permanently honored for the duration of your continuous subscription. If you cancel and later resubscribe, the then-current standard rate applies. The grandfathered rate covers the products included in your subscription at the time you signed up; new products added to the platform later may carry additional fees, which we will disclose before charging.

3.4 Standard pricing changes

We may change the standard subscription price for new customers at any time. For existing customers not on a grandfathered rate, we will provide at least 30 days’ written notice before any price increase takes effect. Your continued use of BizProSeries after the change indicates your agreement to the new price. If you do not agree, you may cancel before the change takes effect.

3.5 Cancellation

You may cancel your subscription at any time from within the app. Cancellation stops the next scheduled charge. You retain access through the end of the period you have already paid for. We do not prorate or refund partial months. See the Refund Policy for full details.

3.6 Suspension for non-payment

If a payment fails, we will attempt to retry the charge and notify you by email. If the failure is not resolved within a reasonable period, your account may be suspended. Suspended accounts retain their data for a limited period before deletion, giving you time to update payment information and reactivate.

4. Your Data

4.1 Ownership

You own all data you enter into BizProSeries — invoices, clients, time entries, business records, brand settings, and any documents you upload. We claim no ownership over your business data. We process and store it only to provide the service to you and as described in our Privacy Policy.

4.2 Export

You may export your data from BizProSeries at any time while your subscription is active. Standard exports include PDF documents, CSV data files, and the Year-End Bundle. We will not hold your data hostage if you decide to cancel.

4.3 Storage and security

BizProSeries data is stored on Microsoft Azure infrastructure in the West US 2 region. We use industry-standard encryption in transit (TLS) and at rest. No system is perfectly secure, and you accept that risk when you use any online service. See the Privacy Policy for details on subprocessors and security practices.

4.4 Retention after cancellation

If you cancel your subscription, we retain your data for a reasonable period to allow reactivation. After that period, your data may be permanently deleted. You may request earlier deletion by emailing support@bizproseries.com.

5. The Software

5.1 License grant

Subject to these Terms, DataHub Solutions grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to access and use BizProSeries during your active subscription, for your own business purposes.

5.2 Multi-business architecture

BizProSeries is designed to support multiple businesses under a single subscription. Each business you create within your account is for your own use or the use of entities you operate. You may not use the multi-business feature to provide BizProSeries access to unaffiliated third parties as a service of your own.

5.3 Updates and changes

BizProSeries is a hosted service that we update continuously. Features may be added, modified, or removed. We will not materially reduce core functionality without notice. Beta or preview features may be offered from time to time and are subject to additional terms presented at the time of access.

6. The Platform Grows

BizProSeries launches with InvoicePro and TimePro. Additional products — including ExpensePro and ContractPro — are planned. When new products are added to the platform:

• Existing customers on the grandfathered launch rate keep their existing rate for the products they already have.
• New products may be available as add-ons at additional cost, which will be disclosed before any charge.
• New products may be included in a higher standard tier for new subscribers signing up after launch.

In no event will we charge an existing customer for a new product without their explicit opt-in.

7. Acceptable Use

BizProSeries is for lawful business use. You agree not to:

• Use BizProSeries to send unsolicited bulk email, spam, or any communication that violates anti-spam laws including the CAN-SPAM Act.
• Resell, lease, sublicense, or otherwise commercially redistribute BizProSeries access to third parties.
• Reverse engineer, decompile, disassemble, or attempt to derive the source code of BizProSeries except to the extent expressly permitted by applicable law.
• Use BizProSeries to build, train, or improve a product, service, or model that competes with BizProSeries.
• Scrape, crawl, or use automated means to extract data from BizProSeries beyond the normal use of our published export features.
• Probe, scan, or test the vulnerability of BizProSeries or attempt to breach security or authentication measures.
• Interfere with or disrupt the integrity or performance of BizProSeries, including by introducing viruses, worms, or other malicious code.
• Use BizProSeries to store or transmit content that is unlawful, defamatory, harassing, infringing, or that violates the rights of any third party.
• Misrepresent your identity or affiliation, or impersonate any person or entity, in connection with your use of BizProSeries.

We may suspend or terminate accounts that violate these Acceptable Use rules, with or without notice depending on the severity of the violation.

8. Intellectual Property

BizProSeries — including the software, design, branding, logos, documentation, and all related materials — is owned by DataHub Solutions LLC and protected by United States and international intellectual property laws. The names BizProSeries, DataHub Solutions, InvoicePro, TimePro, ExpensePro, and ContractPro, along with associated logos, are trademarks of DataHub Solutions LLC. Nothing in these Terms grants you any right to use these trademarks except as expressly authorized in writing.

User-generated content you create within BizProSeries (your invoices, your client list, your time entries) remains yours. See Section 4 for details.

9. Third-Party Services

BizProSeries integrates with third-party services to operate. These include Stripe (payment processing), Clerk (authentication), SendGrid (transactional email), Microsoft Azure (hosting), Sentry (error monitoring), and Cloudflare (content delivery). Your use of BizProSeries is subject to these providers’ own terms and privacy policies. We choose subprocessors carefully and contractually require them to protect your data, but we are not responsible for their independent acts or omissions outside the scope of services they provide to us.

10. Disclaimer of Warranties

BIZPROSERIES IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE FULLEST EXTENT PERMITTED BY LAW, DATAHUB SOLUTIONS DISCLAIMS ALL WARRANTIES INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

We do not warrant that BizProSeries will be uninterrupted, error-free, secure, or that defects will be corrected. You use BizProSeries at your own risk. You are responsible for maintaining your own backups of any data you consider critical, in addition to the export features we provide.

11. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, DATAHUB SOLUTIONS LLC AND ITS OFFICERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATING TO YOUR USE OF BIZPROSERIES, WHETHER BASED IN CONTRACT, TORT, STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL OUR AGGREGATE LIABILITY EXCEED THE GREATER OF (A) THE TOTAL AMOUNT YOU PAID TO DATAHUB SOLUTIONS FOR BIZPROSERIES DURING THE THREE MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.

12. Indemnification

You agree to defend, indemnify, and hold harmless DataHub Solutions LLC and its officers, employees, and agents from and against any claims, damages, liabilities, costs, and expenses (including reasonable attorney fees) arising out of or related to (a) your use of BizProSeries, (b) your violation of these Terms, (c) your violation of any law or the rights of any third party, or (d) any content you submit, post, or transmit through BizProSeries.

13. Change of Control and Assignment

DataHub Solutions may assign these Terms or transfer BizProSeries to a successor entity in connection with a merger, acquisition, sale of assets, or similar transaction. In such an event, we will notify customers and:

• Customers on the grandfathered launch rate may have their rate honored by the acquiring entity, but the grandfathered rate is non-transferable to a successor entity if the successor’s pricing structure does not support it.
• Where the grandfathered rate cannot be carried forward, the acquiring entity will provide no less than ninety (90) days’ written notice before transitioning your account to its standard pricing.
• You may cancel during that 90-day period without penalty and export all of your data.

You may not assign these Terms or any of your rights or obligations under them without our prior written consent.

14. Termination by Us

We may suspend or terminate your access to BizProSeries at any time, with or without notice, if you violate these Terms, fail to pay amounts when due, or use BizProSeries in a manner that creates legal or operational risk for DataHub Solutions or other customers. Sections of these Terms that by their nature should survive termination (including ownership, disclaimers, limitations of liability, indemnification, and governing law) will survive.

15. Modifications to These Terms

We may update these Terms from time to time. When we make material changes, we will notify active customers by email at the address associated with their account, and the updated Terms will be posted at bizproseries.com/terms with a new effective date. Your continued use of BizProSeries after the effective date of the updated Terms constitutes your acceptance. If you do not agree to the updated Terms, you may cancel your subscription before they take effect.

16. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of California, United States, without regard to its conflict of laws principles. Any dispute arising out of or relating to these Terms or your use of BizProSeries will be resolved exclusively in the state or federal courts located in Tehama County or Shasta County, California, and you consent to the personal jurisdiction of those courts. The United Nations Convention on Contracts for the International Sale of Goods does not apply to these Terms.

17. Miscellaneous

If any provision of these Terms is found unenforceable, that provision will be modified to the minimum extent necessary, and the remaining provisions will remain in full force and effect. Our failure to enforce any provision is not a waiver of our right to enforce it later. These Terms, together with the Privacy Policy and Refund Policy, constitute the entire agreement between you and DataHub Solutions regarding BizProSeries and supersede all prior agreements on this subject.
